A legal disclaimer

These Terms and Conditions (“Terms”) govern the provision of services by Ascot Privé LLC (United States) and its UAE-licensed entity TS8 Investments FZCO (United Arab Emirates), collectively referred to as “Ascot Privé,” “we,” “our,” or “us.” By engaging our services, you (“Client,” “you,” or “your”) agree to these Terms in full.

1. Scope of Services

Ascot Privé provides private office support, risk & security advisory, strategic project management, and other bespoke services tailored to the needs of UHNW families, principals, executives, family offices, and corporate entities.

Services will be defined in an individual Service Agreement or Proposal, which forms part of these Terms.

2. Discretion & Confidentiality

All client information, activities, and discussions are treated as strictly confidential.
We will not disclose any details without explicit written consent, except as required by law or in the execution of contracted services where third-party involvement is essential.
Clients agree to extend the same confidentiality obligations to Ascot Privé and its personnel.

3. Engagement & Retainer

Services may be provided on a retainer, membership, or project basis as agreed in writing.
A signed agreement and initial payment are required before services commence.
Unless otherwise stated, retainers and memberships are non-refundable.

4. Client Obligations

You agree to:

Provide accurate and timely information necessary for service delivery.
Maintain lawful conduct and ensure that services are used for legitimate purposes.
Notify Ascot Privé immediately of any change in circumstances that could affect service delivery or risk profile.

5. Third-Party Providers

In certain cases, services may involve vetted third-party providers, including but not limited to security, transportation, hospitality, and technical vendors.
While Ascot Privé conducts due diligence and oversight, we are not liable for any act, omission, or performance of third-party providers, except where negligence is proven.

6. Fees & Payment

All fees, expenses, and payment schedules will be outlined in the Service Agreement.
Payments must be made in the agreed currency and method.
Late payments may result in suspension of services and/or interest charges.

7. Travel & International Operations

For services delivered internationally, you acknowledge that risks, laws, and regulations vary by jurisdiction.
Ascot Privé will advise and act with due care, but certain risks may be beyond our control, including political instability, natural disasters, or acts of third parties.

8. Liability

Ascot Privé will act with reasonable care, skill, and diligence in providing services.
Except where prohibited by law, our liability is limited to the total fees paid for the relevant service period.
We are not liable for indirect, incidental, or consequential losses.

9. Force Majeure

We are not responsible for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war, terrorism, labor disputes, governmental actions, or technical failures.

10. Governing Law & Jurisdiction

Services delivered by Ascot Privé LLC are governed by the laws of the State of New York, United States.
Services delivered by TS8 Investments FZCO are governed by the laws of the United Arab Emirates.
Any disputes will be resolved under the jurisdiction relevant to the contracting entity.

11. Amendments

Ascot Privé reserves the right to amend these Terms at any time. Clients will be notified in writing, and continued engagement constitutes acceptance of the updated Terms.

12. Entire Agreement

These Terms, along with any signed Service Agreement, represent the entire understanding between the parties and supersede any prior discussions or agreements.
